2.2  The composition of the board of Sunway Berhad

Sunway Berhad’s Board of Directors consists of seven directors, including three executive director and four non-executive directors. Executive director is a senior operating officer or manager of a corporation, while non-executive director is a director that typically does not engage in the day-to-day management of the organization, but is involved in policy making and planning exercises. Independent non-executive director (INED) is a director who does not have any responsibilities for executive management in the company and also independent from personal and business relationship with the company or its officers.

The executive director is Sarena Cheah Yean Tih. The senior independent non-executive director (INED) is Mr. Wong Chin Mun. The independent non-executive directors are Mr. Lim Swe Guan, Datuk Seri Yam Kong Choy, Tan Sri Dato’ Dr Lin See-Yan. The non-independent executive directors (NIED) are Tan Sri Datuk Seri Razman M Hashim, Dato’ Chew Chee Kin, and Ms. Sarena Cheah Yean Tih. Among the seven directors, there are six males and one female which in more specifically, it consist of 85.7% of males and 14.3% of females. Other than the gender, there is one Malay and six Chineses. All of the directors are Malaysian and each of the directors has their own expertise or qualification and experience. In terms of age, the average of seven directors is approximately 62 years old.

1. Tan Sri Dato’ Seri Dr. Jeffrey Cheah 

The chairman and the founder of Sunway Berhad is
Tan Sri Dato’ Seri Dr. Jeffrey Cheah. He is a Malaysian; Chinese; a male. Sunway Berhad is a Malaysian conglomerate operating in 12 industries with core businesses in property and construction. Tan Sri Dato’ Seri Dr. Jeffrey Cheah moved to Australia to pursue a business degree at Victoria University in Melbourne after his secondary school. He has been awarded ten honorary doctorates from several universities in the world.

2. Tan Sri Datuk Seri Razman M Hashim

Tan Sri Datuk Seri Razman M Hashim is the deputy Executive Chairman of Sunway Berhad. He is one of the Non-Independent Executive Director of Sunway Berhad. He finished his studies of banking where he became a member of Australian Institute of Bankers and has more than 39years of experiences working in banking industry.

He has been appointed to the board of Sunway Berhad on 17 June 2011.

3. Dato’ Chew Chee Kin

Dato’ Chew Chee Kin is the president of Sunway Berhad. He is also one of the Non-Independent Executive Director of Sunway Berhad. He graduated from University of Malaya with a Bachelor Of Economics (Honours) Degree in the year of 1974. In 1980s, to further his studies, he went to attend the Program in Management Development at Harvard Business School. He was expertise in general management, quarrying, construction, building materials, trading and manufacturing business as Dato’ Chew has more than 30 years experiences in these fields.
