Ethical Conduct Implementation Plan

Justine's Cosmetics

It is the mission of Justine's Cosmetics to provide all the skin care products you need to bring you inner beauty to the surface. By providing a clean rejuvenating foundation our extensive collection of color will enhance the beauty from within.

Ethical Conduct of Employees: Justine's Cosmetics provide products for the skin for both men and women. Our superior quality products are developed from the dedication of our employee values to include, loyalty, honesty, accountability, equitable, safety, and respect for the company as well as each other. All employees are to report any violations to the code of ethics when they become aware of any unfavorable conduct.

Ethical Conduct of Vendors: To conduct business in a professional manner at all times.

Conduct of Board of Director: Board Directors must maintain a high ethical and moral character in business and personal life, so that their behavior has a positive reflection on Justine's Cosmetics.

Business Operations: Hiring for all the managers will include an extensive background check along with professional reference check. Our company is committed to acquiring highly trained managers with some knowledge of international legal and ethical codes of conduct. All managers will attend FCPA (Foreign Corruption Practices Act) classes within the first 30 days of employment.

The Legal Regulations of Conducting Business Overseas:

Code of Ethics: All employees must alert management of actions that are illegal or contrary to the Code of Ethics. Illegal or fraudulent activity is prohibited from employees and employees must act with honesty, fairness, and integrity when conducting company business (business). Disciplinary action will be taken which could include termination or criminal prosecution. The following are unacceptable behavior of our employees (training):

* Intentionally damaging, destroying or stealing property from co-workers or the company

* Accepting bribes or kickbacks

* Disorderly conduct

* Abusive language

* The use of drugs and/or alcohol

* Absence without valid reason

* Violating safety regulations

* Use of company equipment for personal gain

With a diverse work group, Justine's feels everyone should have a work environment free from all forms of discrimination. Any form of conduct that can be considered harassing, coercive, or intimidating will not be tolerated. We have a zero tolerance policy.

As a company doing business in Japan, international business ethics are not always uniform. For instance, in Japan it is customary to give gifts to those high on the hierarchy. Giving gifts could be considered as bribery, but in a country such as Japan this behavior is customary. When determining the code of ethics for the employees, the differences in the ethical codes are pertinent to their culture. With their work ethics substantially different than that of the U.S., so must their Code of Conduct. Justine's has concluded that using IIJ's code of conduct, is appropriate to follow for our companies codes of conduct as follows (contracts):

* Promote honest and ethical conduct, such as fair dealings and ethical handling of conflicts of interest.

* Promote full, fair, accurate, and timely and understandable disclosure

* Promote compliance with applicable laws and governmental rules and regulations

* Deter wrongdoing

Justine's is determined to operate in strict compliance with all the governmental laws, rules and regulations of Japan as well as the IACB (International Association of Business Communicators), which is the global stand of professional achievement of business communicators (iabc).

Distinguishing between Right and Wrong in Business Dealings: According to the IACB ethics determines what is right and what is wrong. This code of ethics is determined on three principles of communication; Professional communication is legal, ethical and in good taste. These are essential principles needed for successful communication and understanding the norms of the culture you are in. Unethical behavior is found in every form of business. I think that evaluating a person's moral values will help make an informed decision whether the individual can achieve success with the company. Unethical behavior in one country may not be perceived, as unethical by another, for example, in the U.S., buying gifts for a superior may be considered bribery, but in a country such as Japan, it is customary to give gift to your superiors. This difference is the cultures in which we live. However, giving extravagant gifts in any country would be wrong and a form of bribery. Daimler is a prime example of bribery (business-ethics) when they gave extravagant gifts to government officials to gain contracts. When determining right from one, one should think, if it has to be questioned it is probably wrong. This is a good rule to go by in business and your personal life.

Conflicts of Interest: Establishing a policy by which conflicts are to be handled in unethical situations should be done with careful consideration. Planning a set of rules and regulations with a blanket that will identify who the
